Terms of Service

01

Agreement

These Terms of Service (these "Terms") are a legally binding agreement between you and Narro Technologies, Inc. ("Company", "Narro", "us", "our", and "we") governing your access to and use of thenarro.com, related applications, APIs, and any other Narro product we make available (together, the "Site" or the "Service").

If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity. Additional guidelines, order forms, or product-specific terms posted on the Site are incorporated into these Terms. If they conflict with these Terms, the more specific terms control for that feature.

BY ACCESSING OR USING THE SERVICE, YOU ACCEPT THESE TERMS. YOU MAY NOT USE THE SERVICE IF YOU ARE NOT AT LEAST 18 YEARS OLD. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

02

Eligibility and Accounts

Eligibility

The Service is offered only to individuals who are at least 18 years old and to businesses they represent. You must provide accurate registration information and keep it current.

Account responsibilities

You are responsible for your login credentials and for all activity under your Account, including activity by people you invite as teammates, advisors, investors, or other collaborators. You must notify us promptly at info@thenarro.com if you suspect unauthorized use. We are not liable for loss arising from your failure to protect your Account.

Workspace administrators

If you are an administrator of a company workspace, you are responsible for seats you assign, for the content those users upload, and for withdrawing access when someone should no longer see company materials.

Closing an account

You may request account closure by emailing info@thenarro.com with the subject "Account closure". We will confirm the request and delete or de-identify personal data we do not need to keep. We may retain records required for billing, security, dispute resolution, or law, as described in our Privacy Policy.

03

The Service

Narro is a software workspace that may include company records, listings, data rooms, due-diligence files, fundraising tools, screening and network features, Pitch Studio, practice and assessment tools, an AI assistant, billing, and related collaboration features. Features may vary by plan, role, and workspace.

Narro is a technology platform. Unless we say otherwise in a signed writing, we are not a broker-dealer, funding portal, investment adviser, law firm, accountant, or bank. Use of the Service does not guarantee introductions, investment, diligence outcomes, or any particular result.

04

License and Restrictions

License

Subject to these Terms and your payment of any applicable fees, Company grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Service for your internal business purposes during the term of your subscription or authorized access.

Restrictions

You may not: (a) license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Service except as these Terms allow; (b) modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Service except to the extent applicable law prohibits that restriction; (c) access the Service to build a similar or competitive product; (d) copy or republish the Service except as these Terms allow; or (e) bypass usage limits, seat rules, or security controls.

05

Customer Content and Confidentiality

"Customer Content" means information, files, recordings, messages, listings, and other materials you or your authorized users submit to or create in the Service. You retain ownership of Customer Content. You are responsible for it, including that you have the rights needed to upload it and to share it with people you invite.

License to operate the Service

You grant Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, and create limited technical derivatives of Customer Content solely to provide, secure, back up, and improve the Service for you and the people you authorize. This license does not allow us to publish confidential data-room files, pitch recordings, or similar deal materials to the public, or to share them with third parties except as you direct, as needed to operate the Service through our processors, or as required by law.

Confidential materials

We will treat non-public Customer Content as confidential and use it only as these Terms and our Privacy Policy describe. You are responsible for choosing who can open a listing, data room, recording, or workspace invite. We are not responsible for disclosures you make, or that your invitees make, after they receive access.

06

AI Features

The Service may include AI assistants and related tools (including features branded as Moxie or OMEN). AI output can be incomplete, outdated, or wrong. You must review it before relying on it. AI features are not legal, financial, tax, or investment advice.

  • Do not prompt the assistant to generate unlawful content or to misuse someone else’s confidential information.
  • We do not use your confidential workspace content to train third-party foundation models unless you opt in to a feature that says otherwise.
  • We may use de-identified or aggregated usage signals to operate and improve the Service.
  • You remain responsible for Customer Content you submit to AI features and for decisions you make from the output.

07

Acceptable Use

You agree not to use the Service to collect, upload, transmit, display, or distribute any Customer Content that: (i) violates a third-party right, including copyright, trademark, patent, trade secret, moral right, privacy, publicity, or other proprietary right; (ii) is unlawful, harassing, abusive, threatening, defamatory, fraudulent, or otherwise objectionable; (iii) is harmful to minors; or (iv) violates any law, regulation, or obligation you owe to a third party.

You also agree not to scrape the Service, interfere with other users, abuse matching or screening features, upload files you do not have rights to share, or record another person through the Service without any consent the law requires.

08

Fees and Billing

Paid plans, seats, add-ons, and one-time purchases are charged as shown at checkout or on an order form. Fees are in the currency displayed and exclude applicable taxes unless stated otherwise. You authorize us and our payment processor to charge your selected payment method.

Payment cards are processed by Stripe or another designated processor. Narro does not store full card numbers. Subscriptions renew for the same term unless you cancel before the renewal date through the billing settings we provide or by contacting info@thenarro.com. Seat or plan changes may be prorated as shown at the time of change.

Fees are non-refundable except where required by law or where we expressly offer a refund at purchase. If a charge fails, we may suspend paid features until payment is restored.

09

Third-Party Services

The Service may interoperate with third-party products, including sign-in providers, payment processors, cloud hosting, email, analytics, and AI vendors. Those parties’ terms and privacy notices apply to their services. We are not responsible for third-party sites or services we do not control.

10

Intellectual Property

The Service, including software, design, trademarks, and documentation, is owned by Company or its licensors and is protected by intellectual-property laws. These Terms do not transfer any Narro intellectual property to you except the limited license above. Customer Content remains yours, subject to the licenses you grant.

If you believe content on the Service infringes your copyright, send a notice to info@thenarro.com with the subject "IP notice", including a description of the work, the material you claim is infringing and where it appears, your contact information, and a statement that you have a good-faith belief the use is unauthorized and that the notice is accurate.

11

Disclaimers

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. COMPANY AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL RESULT IN FUNDING, INTRODUCTIONS, OR ANY PARTICULAR BUSINESS OUTCOME. AI OUTPUT IS NOT PROFESSIONAL ADVICE.

12

Indemnity

You will defend, indemnify, and hold harmless Company and its officers, directors, employees, and agents from claims, damages, losses, and reasonable expenses (including legal fees) arising out of Customer Content, your invites and access grants, your use of the Service, or your violation of these Terms or applicable law.

13

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, COST OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO COMPANY FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100) IF YOU HAVE NOT PAID FEES.

14

Suspension and Termination

We may suspend or terminate access immediately if we reasonably believe you have breached these Terms, created a security or legal risk, failed to pay fees, or if we discontinue the Service. We may also suspend an Account to investigate suspected abuse.

On termination, your license ends. You may request an export of Customer Content we still hold by emailing info@thenarro.com within thirty (30) days, unless law or a security risk prevents that export. Sections that by their nature should survive — including ownership, confidentiality, fees owed, disclaimers, indemnity, limitation of liability, and dispute resolution — survive termination.

15

Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules.

Before filing a claim, you agree to email info@thenarro.com with a short description of the dispute and to try to resolve it in good faith for thirty (30) days. After that period, either party may bring an individual claim in the courts located in Toronto, Ontario, which will have exclusive jurisdiction, except that either party may still seek temporary injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.

To the extent permitted by applicable law, you and Company may bring claims against each other only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. This does not limit rights that cannot be waived under Canadian law.

16

General

These Terms, the Privacy Policy, and any order form or plan-specific terms are the entire agreement between you and Company about the Service. If a court finds a provision unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Notices to Company must be sent to info@thenarro.com.
